Joint-stock Company
Review whether a share structure matches the growth plan. The working scope is confirmed only after reviewing the circumstances, available records and current requirements.
What you receive
- 01
Structure and business-line assessment — A joint stock company is the structure to choose when you intend to raise capital or bring in investors. It carries heavier governance obligations than a limited liability company, and we set those out honestly before you commit to the form.
- 02
Founding document set drafted — Charter, founding shareholders' register, share subscription records, resolutions of the founding shareholders, and the governance structure — board, chairman and legal representative — set up so a future funding round does not require unwinding it.
- 03
Registration filed and executed — Application filed with the business registration authority, Enterprise Registration Certificate obtained, company seal made, initial tax registration completed, digital signature issued and e-invoice activated.
- 04
Banking and capital set-up — Current account opened and, for foreign-invested structures, the direct investment capital account through which capital must lawfully flow — getting this wrong is one of the most expensive mistakes a foreign owner makes.
- 05
Post-formation compliance handover — Including the share transfer restrictions that apply to founding shareholders in the first years, which surprise most founders. You receive a written calendar of every filing due in the first year, with the penalty attaching to each if it is missed.
Delivery routes
Choose the level of support that fits your capacity, timing and desired control. Each party's role is confirmed before work begins.
Route A — You act, we guide
You keep control of execution. LotusGuard provides the costed roadmap, working notes and review checkpoints.
Route B — We execute under mandate
LotusGuard coordinates and files the agreed work within the authority and scope set out in writing.
Route C — Independent third-party QC
When a specialist provider is required, LotusGuard vets the provider and supervises delivery for a disclosed management fee.
Timing and quote
Fees are fixed against the scope stated in the quote and applied consistently. The quote identifies included work, exclusions, assumptions and any pass-through costs.
Legal notice
LotusGuard provides procedural advisory and files your dossier under a power of attorney. The decision to grant, refuse or revoke rests solely with the competent Vietnamese authority; we do not sponsor applicants and we do not promise an outcome. Your original passport stays with you — we work from certified copies wherever the law allows. Government fees, official charges, translation and consular legalisation are payable by the client at cost, at the published rate.
